Article 1. Amendment of these Terms and Conditions

• 1.
  Company may amend these Terms and Conditions at any time without providing advance notice to User.
• 2.
  If Company amends these Terms and Conditions, then the terms of use of the Site and the Services will be in accordance with these Terms and Conditions as amended. Unless otherwise specified by the Company, the amended Terms and Conditions will take effect from the point in time when they are posted on the Site.
• 3.
  Company will not have any liability whatsoever for any loss, damage, etc., incurred by User because of or in connection with an amendment to these Terms and Conditions.

Article 2. Intellectual Property Rights

• 1.
  The Company or its third-party licensors own all copyright and other intellectual property rights and publicity rights, etc., in the information comprising the Site and the Services (including but not limited to information such as text, photographs, images, etc.). Accordingly, User will not commit any acts whatsoever that infringe or that risk infringing these rights.
• 2.
  If any dispute or problem, etc., arises from User's violation of the previous Paragraph, then User will be responsible for resolving such dispute or problem, etc., at its own expense, and will not cause any difficulties or damage, etc., for Company.

Article 3. Important Points

• 1.
  Company is only providing various types of information through the Site and the Services, and all actions relating to viewing information used on the Site and in the Services; collecting information; and third-party web sites, content, etc. ("Travel Sites") accessible via the Site and the Services; are at User's own risk.
• 2.
  Please take note of the following points when making reservations on Travel Sites via the Site or the Services:

  Reservations are made through the various Travel Sites. Accordingly, please see the terms and conditions on each Travel Site for confirmation of the terms and conditions, etc., that will apply to your reservation.

  (2)

  Because of time lags in refreshing data, the travel-related information, etc. posted on the Site may differ from that posted on the Travel Sites. Before making a reservation, please always confirm the latest content on the various Travel Sites.

  (3)

  There may be differences between the scope of services available through travel plans and the available facilities. Before making a reservation, please always confirm the content on the various Travel Sites.

  (4)

  The Company makes no guarantee whatsoever with respect to the Travel Sites, the information posted on the Travel Sites, or the reservation function provided through the Travel Sites, and furthermore assumes no liability whatsoever with respect to the content thereof, the results of any use thereof, or any inability to make use thereof.

Article 4. Prohibitions

• User will not commit any of the acts in the items below, or any acts that create a risk of occurrence of any of the items below, using the Site or the Services.

  Acts violating laws, regulations, these Terms and Conditions, any Individual Policy, or public order and morals

  (2)

  Acts infringing the intellectual property rights (including but not limited to copyright, design rights, patents, utility model rights, trademarks, know-how, etc.), publicity rights or other rights of the Company or of third parties

  (3)

  Acts that use access to the Services or the Site for business activities or commercial purposes, or to prepare to carry out such acts

  (4)

  Use of the Site for data mining or for collection or extraction of data using bots or similar methods

  (5)

  Acts that use or provide harmful programs such as computer viruses, etc., through the Services or in connection with the Services

  (6)

  Acts involving the duplication, modification, revision, translation, or creation of derivative works based upon the computer systems used for the Site or the Services

  (7)

  Acts involving the reverse engineering, decompiling, disassembly or decryption of the computer systems used for the Site or the Services, or that attempt to ascertain their source code

  (8)

  Other acts that the Company determines to be inappropriate

Article 5. Disclaimers

  As travel agencies and various other information providers are responsible for supplying and posting the information provided via the Site and the Services, Company does not warrant that the information is true, accurate, authentic, complete, useful, or otherwise, and will have no liability whatsoever in connection therewith.
• 2.
  Company will have no liability whatsoever in connection with User's use or non-use of information from the Site or the Services, or any dispute, problem, etc., between User and a travel agency, hospitality facility, etc., arising from or relating to the Site or the Services, and User will resolve any such dispute, problem, etc., directly with such travel agency, hospitality facility, etc.
• 3.
  Without notice, Company may change the information on the Site or the Services. The Company also may suspend or discontinue the operation of all or a portion of the Site or the Services. Your advance understanding is appreciated. Furthermore, Company will have no liability for any damage suffered by User in connection with such a change in information or a suspension or discontinuation of operation, regardless of the reason.

Article 6. Breach, Etc. of Terms and Conditions

If User breaches these Terms and Conditions and causes damage to Company or to a third party, then User will be responsible for paying compensation therefor at its own cost. In addition, any claims or disputes, etc., between User and a third party relating to User's use of the Site and the Services will be managed and resolved between User and such third party without causing any difficulties whatsoever for Company.

Article 7. Management of Personal Information

• 1.
  The management of personal information in connection with the Services will be in accordance with the Site privacy policy.
• 2.
  The management of personal information provided by User to Travel Site operators in connection with Travel Sites will be determined by the third-party managers / operators of such Travel Sites, and Company will have no liability whatsoever in connection with the determinations of such third parties. User will be responsible for managing personal information in connection with each Travel Site and the user IDs, passwords, etc. for such Travel Sites.
• 3.
  Company may obtain information about User's activity history on the Site and on the Travel Sites in order to improve user experience and services, and to confirm the status of requests for travel and other transactions. This information will not include information identifying the User and in principle will not constitute personal information, but its management will be in accordance with the the Site privacy policy.

Article 8. Feedback

• 1.
  If User provides Company with ideas such as opinions, comments, proposals for improvement, etc., or other feedback ("Feedback") then Company will be allowed to use the Feedback freely, without limitation and without obligation. Furthermore, User grants to Company an irrevocable, non-expiring, fully paid-up license to use the intellectual property rights in the Feedback, and agrees not to exercise User's moral rights as an author within the scope of that license.
• 2.
  Feedback is not limited to that relating to the Services, and includes any service-related ideas whatsoever. Accordingly, Company will have no confidentiality, discussion, reporting, compensation or other obligations whatsoever regarding Feedback ideas.
• 3.
  Company may share Feedback with travel agencies and other third parties without being required to pay any compensation to User.

Article 9. Governing Law and Jurisdiction

• 1.
  These Terms and Conditions will be governed by, and interpreted in accordance with, the laws of Japan.
• 2.
  Any disputes between Company and User relating to use of the Site or the Services will be subject to the exclusive jurisdiction of the Tokyo District Court in the first instance.
